# Lightnet Channel Launch Terms

Version: Launch 1.0 · Effective: 28 October 2026

These Channel Launch Terms ("Launch Terms") are between you and Cyber Inference Inc., a Delaware corporation ("Lightnet", "we", "us"), and cover the one-time service that creates an AI channel for an invited expert. Our mailing address is 228 Park Ave S, PMB 85451, New York, NY 10003, United States. Contact support@lightnet.work for the service or legal@lightnet.work for permissions and intellectual-property questions.

These Launch Terms apply to the launch service together with the [Lightnet Terms of Service](terms.md) and the [Creator Code of Conduct](creator-code-of-conduct.md). The Terms of Service describe a purchase offer that may specify price, scope and more favorable benefits; these Launch Terms are that offer for the launch service. They do not waive mandatory rights that apply to you.

## 1. Parties and the service

You are the invited expert named in your invitation ("you", "the author"). Your invitation identifies the service and the price that apply to your order.

Lightnet's launch service is a one-time service that creates a Creator Channel for you and prepares it for launch. A Creator Channel is an AI experience informed by your authorized materials, method and boundaries. It is software, not you: responses are generated automatically and are not a live appearance, personal review or endorsement by you. The service covers only the items listed in section 2. It does not create employment or agency: you remain an independent supplier, not an employee or authorized agent of Lightnet.

## 2. What is included and what is not

### 2.1 Included

The launch service includes exactly:

- creating your channel and the basic technical setup;
- Studio access to manage your method, practices and channel behaviour;
- one onboarding call;
- one joint review before launch.

### 2.2 Not included

The launch service does not include:

- preparing the materials or filling the channel — that is your part (section 4);
- individual development or building the channel for you;
- ongoing personal support beyond the launch;
- guaranteed subscribers, income or a fixed launch date;
- monetization, payouts or paid subscriptions on your channel (section 9);
- voice cloning, persona reproduction or other features that require a separate authorization (section 5).

## 3. Price and one-time nature

### 3.1 Price

The regular price of the launch service is USD 199, one-time. For invited first-circle participants the price is USD 99, one-time. These are two prices for the same service, not two packages: the included items in section 2.1 are identical. The price assigned to your invitation is the price payable, and your invitation and the checkout page show it before payment. Any taxes that apply are shown before payment.

### 3.2 One-time payment

The launch fee is paid once, through a Stripe-hosted Checkout page, after you accept these Launch Terms. It is not a subscription and does not renew. We do not take recurring payments for the launch service, and nothing in these Launch Terms creates an ongoing payment obligation for it. The one-time launch fee does not add a monthly platform fee: no monthly platform fee applies to you for the channel, and monetization and payouts remain governed by section 9.

## 4. Your participation and materials

### 4.1 The material list

After payment we agree the onboarding meeting and the list of materials together. The list normally covers:

- a description of your method and the audience it serves;
- materials you have the right to use;
- example questions and practices;
- the boundaries of where your method applies.

### 4.2 Your responsibilities

You prepare the materials and fill the channel. You keep the information you provide accurate and up to date, take part in the onboarding call and the joint review, and respond within a reasonable time when we ask about the materials. You remain responsible for what your channel says and for the materials you supply, as described in the Terms of Service and the Creator Code of Conduct. Preparing the materials is your part of the launch; Lightnet's part is limited to section 2.1.

## 5. Permissions and ownership

### 5.1 Ownership

You keep ownership of your method and your original materials. Lightnet retains its platform code, tools, models and other technology, as the Terms of Service describe. Nothing in these Launch Terms transfers ownership of your method or original materials to Lightnet.

### 5.2 Permission before use

Before Lightnet uploads or uses materials, you must hold the rights to them and grant Lightnet the permission needed to use them for the launch and operation of your channel. Materials you do not have the right to use cannot be included. Where another person's copyrighted content, private information or likeness is involved, you need the required permission; public availability is not permission. The Terms of Service describe the permission you give for content you submit. Ask legal@lightnet.work if the position on a particular material is unclear.

### 5.3 Voice and persona

Paying the launch fee does not by itself grant permission to clone a voice or reproduce a persona. Voice cloning and persona reproduction are not part of this service. Using a voice, appearance or persona requires the separate authorization described in the Creator Code of Conduct, and those features are enabled only after that authorization is in place.

## 6. Timeline and launch date

The onboarding meeting and the material list are agreed after payment. The launch date is agreed together after we review the materials, and it depends on their readiness and on your participation. The launch service does not promise a fixed launch date; a date we agree together is a plan, not a guarantee of a particular calendar day.

## 7. Cancellation and refunds

### 7.1 Before the onboarding meeting

Before the onboarding meeting you can cancel the launch and receive a full refund. To cancel, reply to the message that invited you or write to support@lightnet.work.

### 7.2 After work starts

After work starts, a refund is discussed taking into account the part already completed.

### 7.3 If Lightnet cannot complete the launch

If Lightnet cannot complete the agreed launch, Lightnet refunds the payment for the part not completed.

### 7.4 Your mandatory rights

These terms apply together with your mandatory consumer rights. This section does not shorten a statutory cancellation or refund right that applies to you. Approved refunds go to the original payment method where practicable, as described in the Terms of Service.

## 8. Acceptance and versions

Before payment we show you the exact published version of these Launch Terms, and you accept that version through the acceptance action presented next to the payment. The accepted version and its content hash are recorded with your order, so the wording you accepted can be identified later. Later changes to these Launch Terms do not change the version you accepted, and that version remains available: the recorded version and hash identify it, and you can ask support@lightnet.work for a copy.

Changes to these Launch Terms are prospective, and where a change requires your acceptance we ask for it, as the Terms of Service describe. If you are not sure which version applies to your order, write to legal@lightnet.work.

## 9. Monetization and payouts

Channel monetization and payout terms are agreed separately before paid subscriptions on your channel are enabled. The launch fee is not a subscription, does not create a payout entitlement and does not promise a balance owed to you. No automatic payouts and no Stripe Connect arrangement are promised as part of the launch service. Paid access to your channel is enabled only after the separate monetization agreement is in place.

## 10. Responsibility and limits

We will provide the launch service with reasonable care and skill. Except for express commitments and rights that cannot lawfully be excluded, the service is provided as available without guarantees of particular outcomes, a fixed launch date or uninterrupted availability. We remain responsible for our own conduct and applicable obligations concerning our providers.

To the extent permitted by law, neither party is liable to the other for indirect or consequential loss arising from these Launch Terms. Our aggregate contractual liability is limited to the greater of US$100 or the fees you paid for the affected service in the six months preceding the event. These exclusions and limits do not apply to fraud, willful misconduct, death or personal injury caused by negligence, or any liability or remedy that applicable law does not allow us to exclude or limit. They do not reduce statutory privacy rights or required refunds. Nothing shifts liability for our own breach to you merely because AI was involved.

## 11. Governing law and disputes

Delaware law governs, excluding conflict-of-laws rules, without depriving consumers of mandatory protections where they habitually reside. Delaware state and federal courts have jurisdiction except where mandatory law permits another forum. No arbitration or class-action waiver is imposed by these Launch Terms.

These Launch Terms and the Terms of Service contain the service agreement for the launch. The purchase offer may specify price, scope and more favorable benefits, but cannot waive mandatory rights or authorize additional private-data processing. Invalid provisions are limited or severed without invalidating the remainder. Neither non-enforcement nor delay waives rights.
